Bloomberg also reported that deliberations are ongoing and the company could decide not to proceed. Nothing about that filing is on EDGAR, and nothing about it can be, because confidential draft registration statements are not public documents.

What the reporting says
Bellipo's read starts with what can be checked. Discord Inc. has a CIK — 0001763840, San Francisco, Delaware-incorporated — and six filings under it, all Form D notices of exempt offerings: December 2018, June 2020, December 2020, June 2021, September 2021 and January 2023. There is no S-1, no F-1, and no public record of a draft. The confidential-filing claim rests on one Bloomberg story sourced to unnamed people; every other outlet, Reuters included, attributes the claim back to Bloomberg. Discord's own spokesperson did not confirm a filing — the quoted statement was about "delivering the best possible experience for users and building a strong, sustainable business".
The valuation trail is better than the IPO trail, because part of it is SEC-filed. Destiny Tech100 Inc. (CIK 0001843974), a listed closed-end fund, holds Discord common and Series G preferred and reports a fair-value mark for each position every quarter on Form N-PORT. Dividing the reported position value by the reported share balance gives a dated per-share mark: $275.00 at March 31, 2024; $249.25 at September 30, 2024; $235.87 at March 31, 2025; $255.23 at September 30, 2025; $277.04 at December 31, 2025; and $282.60-equivalent at March 31, 2026, where the filer restated the position on a ten-for-one unit basis and filed $28.26 per unit. That is one fund's valuation policy, not a transaction price — but it is a quarterly, filed, checkable series, and it fell before it recovered.
A paid tier inside a free product — and the liability that comes with it
Discord is a voice, video and text platform organized into user-run servers, and it is free to use. Money enters through three known doors on top of that free product: Nitro, the premium membership, which in May 2026 the company extended into a partner-benefits program called Nitro Rewards with Xbox Game Pass, Logitech and SteelSeries as first partners; server boosts, where members pay to unlock features for a community they belong to rather than for themselves; and advertising, which Discord has built as Quests — sponsored in-app activities — extended in 2025 with a virtual reward currency called Orbs and a Kantar measurement partnership. Nothing in that mix is disclosed with a dollar figure. Discord publishes no financials, and its own Form D filings decline to state a revenue range. Any revenue number attached to Discord in public is a third-party estimate.
The defining risk is not competitive, it is legal, and it is specific rather than boilerplate. Discord's product is user-run rooms that are hard to see into by design, and its users skew young. On April 17, 2025 the New Jersey Attorney General became the first state to sue the company, alleging its safety controls misled parents and left children exposed to predators and violent sexual content. In October 2025 Discord confirmed that a breach at customer-service vendor 5CA exposed roughly 70,000 government-ID photographs users had submitted for age verification — the exact documents an age-gating regime demands. A first public S-1 would have to quantify both the litigation exposure and the cost of the trust-and-safety apparatus that comes with it. Until that document exists, nobody outside the company knows what either number is.
Ownership is private and control is founder-inflected. Discord was founded in 2015 by Jason Citron and Stanislav Vishnevskiy; Citron ran it until April 28, 2025, when Humam Sakhnini — previously vice chairman at Activision Blizzard — became chief executive and joined the board, with Citron staying on the board as advisor to the CEO and Vishnevskiy remaining chief technology officer. The capital stack is visible only in outline: six Form D exempt offerings between December 2018 and January 2023 totaling roughly $913M sold across the six notices, and at least one class of Series G preferred, which appears by name in a public fund's holdings schedule. The full cap table, board composition and any dual-class arrangement are not public. Reported coverage that Discord turned down a roughly $12B acquisition approach from Microsoft in 2021 is attribution, not a filing.

What to watch
- Watch EDGAR under CIK 0001763840 — a public S-1 is the single event that flips RADAR to READY. A confidential draft never appears there, so its absence proves nothing either way.
- Watch the DXYZ N-PORT filings each quarter — a filed fair-value mark is the only dated Discord valuation series that is not press attribution.
- Watch the New Jersey docket and any second state joining it. Platform-liability exposure is the disclosure that would carry the most weight in a first public S-1.
What we don't know
- Whether a confidential draft registration statement exists at all. One outlet's unnamed sources are the entire basis; the SEC does not confirm confidential submissions.
- Revenue, gross margin, profitability and paid-subscriber count. Discord files no financial statements and every Form D declines to disclose a revenue range.
- Share count, offer range, primary-versus-secondary split, use of proceeds and listing venue.
- Any valuation set by a transaction after September 2021. The quarterly marks are a fund's valuation policy, not trades.
- The scale of the New Jersey exposure — the complaint is heavily redacted and no outcome exists.
The IPO claim is single-outlet: Bloomberg, January 6, 2026, sourced to unnamed "people familiar" [1]; Reuters and everything after it are pickups of that one report [2]. Discord's EDGAR record under central index key (CIK) 0001763840 contains six Form D exempt-offering notices and nothing else [3]. The one dated valuation trail that is not press chatter comes from a public filer: Destiny Tech100 Inc. (DXYZ) marks its Discord position every quarter in its N-PORT filings [10].
