Anthropic Filed Confidentially at Nearly $1 Trillion. The Countdown to Its S-1 Has Begun.
On June 1, 2026, Anthropic, PBC confirmed it had confidentially submitted a draft registration statement on Form S-1 to the Securities and Exchange Commission. With one short announcement, the maker of Claude moved ahead of its larger rival in the race to Wall Street — and put a company valued at close to a trillion dollars on a path that, until now, no AI lab had walked.
A week later, OpenAI confirmed its own confidential filing. But Anthropic moved first, and at a valuation that turns heads: its Series H round, announced May 28, 2026, raised $65 billion and set a post-money mark of ~$965 billion — co-led by Altimeter, Dragoneer, Greenoaks, and Sequoia. By that measure, Anthropic is now the most valuable AI startup in the world. The word "confidential," though, hides exactly what investors most want to know.
Confidential Doesn't Mean Public — Yet
Anthropic submitted a draft S-1 for nonpublic SEC review. This is the route the SEC opened to all issuers in 2017, building on a JOBS Act provision: a company can begin the formal IPO review privately, trading comment letters with regulators before a single number reaches the public. Anthropic was clear that the filing "gives us the option to go public" once the SEC completes its review — and that any actual offering depends on market conditions. It deliberately left the offer price, share count, and timing open.
So the headline valuation you've read — ~$965 billion — is the private mark from the Series H, not an IPO price. The number that matters for public investors doesn't exist yet. It arrives with the public S-1.
Jun 1 Anthropic confirms confidential draft S-1 to the SEC (2026) ~$965B Series H post-money — $65B raised, announced May 28, 2026 ~$13B Amazon's total investment to date, plus a $100B cloud commitmentThe Amazon Question the S-1 Will Finally Answer
No outside relationship shapes Anthropic's story like Amazon's. Amazon has poured roughly $13 billion into the company, and Anthropic has committed to spend more than $100 billion on cloud over time. Those two facts sit on opposite sides of the same ledger, and the public S-1 is the first document that will show how they net out — how much of Anthropic Amazon actually owns, how the cloud commitment hits the financials, and what control, if any, comes attached. Until the filing goes public, every figure on that relationship is an estimate.
The Sequence From Here
A confidential filing is the first step in a defined process. Each stage is a moment you can track — or miss entirely:
From Confidential Draft to First Trade
01SEC review (private)
Anthropic and the SEC exchange comment letters on the draft. Weeks to months. No financials, no ticker, no date in public view.
02Public S-1 filed
When Anthropic chooses to proceed, the draft goes public. This is the disclosure event — revenue, margins, the Amazon stake, insider selling, underwriters. The SEC requires it on file at least 15 days before the roadshow.
03Roadshow & pricing
The price range is set and marketed. On pricing night, the final offer price is locked — usually the evening before the first trade.
04First trade
The stock opens. Not at the 9:30 a.m. ET bell — a mega-IPO's opening auction can run hours late, with no alert from your broker.

What Bellipo Does the Moment the Numbers Go Public
Anthropic is already a tracked name on the Bellipo Radar. The instant its public S-1 lands, the Bellipo Dossier generates — financials, cap structure, the Amazon relationship laid out plainly, insider selling, underwriters, comparable outcomes, BDI demand read, and the risk factors that actually move the price. You read the distilled version before the roadshow, not the 200-page original after the open.

The Bottom Line
Anthropic got to the SEC's door first. That's a signal of intent, not a date on a calendar — the company holds the timing, and the real disclosure is still ahead. The investors who won't be scrambling when that S-1 drops are the ones already set up to read the Dossier and waiting for PING.

Track every IPO from S-1 filing to first trade. PING fires when pricing becomes official — typically the evening before trading, occasionally the morning of, always before the open — carrying the final offer price. STRIKE fires the instant the first share trades. Walk in ready, not reacting. Bellipo doesn't stop at the open — ORBIT follows the post-IPO window where the base forms.
